Terms of Service

Thank you for choosing CELPTips. These Terms of Service (“Terms”) are a binding agreement between you and us (“we”, “us”, “our”). By accessing or using our website, applications, or related services (collectively, the “Services”), you agree to these Terms and to our Privacy Policy.

1) Overview

CELPTips provides educational practice materials and tools designed to help users prepare for English proficiency exams. The Services include practice tasks, practice tests, timers, tips, and analytics to help you study efficiently. We may update or improve the Services from time to time.

2) Eligibility & Accounts

  • You must be the age of majority in your place of residence to use the Services.
  • You are responsible for your login credentials and all activity on your account.
  • Keep your information accurate and up to date. Notify us of any unauthorized use.
  • If you sign in via a third-party provider (e.g., Clerk), you also agree to that provider’s terms.
  • We may suspend or terminate accounts that violate these Terms or pose a security risk.

3) Plans, Billing, Trials & Refunds

  • Subscriptions. Paid plans renew automatically unless cancelled before renewal.
  • Free trials & promos. May include extra terms shown at sign-up.
  • Refunds within 7 days if ≤10 practice tests used. You can request a refund within 7 calendar days of purchase if you have used ≤10 practice tests. To request a refund, contact us (see "Notices & Contact").
  • Cancellations. Cancel anytime to stop future billing; access continues to period end.
  • Chargebacks. Disputes without contacting us first may lead to temporary suspension.

4) License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial education. You agree not to copy or resell materials; bypass timers or access controls; upload unlawful content; harass others; or scrape/automate without consent.

5) Educational Independence & No Exam Guarantee

CELPTips is an independent practice resource and is not affiliated with, endorsed, sponsored, or approved by Paragon Testing Enterprises or the official CELPIP® test. We do not guarantee any specific score or outcome.

6) User Content & Feedback

  • You own your submissions (answers, recordings); you grant us a license to host/process to run the Service.
  • Feedback/suggestions may be used by us without obligation.
  • AI-generated materials: Some content, feedback, and analysis may be generated using artificial intelligence (AI). We use AI to enhance user experience, provide practice feedback, and generate educational materials. AI-generated content is provided "as is" and may not always be accurate or complete. You agree that any reliance on AI-generated content is at your own risk.

7) Intellectual Property

The Services (layouts, copy, graphics, code, branding) are protected by IP laws. Except for the license above, no rights are granted.

7.1 Third-Party Trademarks

CELPIP® is a registered trademark of Paragon Testing Enterprises. CELPTips is not affiliated with, endorsed, sponsored, or approved by Paragon Testing Enterprises or the official CELPIP® test. All references to CELPIP® on this website are for descriptive purposes only and do not imply any affiliation or endorsement. We respect third-party intellectual property rights and do not claim any rights to third-party trademarks, service marks, or trade names. Any other trademarks, service marks, or trade names mentioned on the Services are the property of their respective owners.

8) Third-Party Services

Integrations/links (auth, analytics, social) are governed by their own terms. We aren’t responsible for third-party content or practices.

9) Privacy, Data & Security

  • We process data per our Privacy Policy.
  • We use reasonable safeguards, but no method is 100% secure.
  • You’re responsible for device and credential security.

10) Availability, Updates & Changes

  • Occasional maintenance/outages may occur.
  • We may add/change/remove features (free or paid) to improve the Service.
  • We may update these Terms; material changes will be posted with a new “Last updated” date.

11) Termination

  • You may stop using the Service at any time and cancel your plan (see Section 3).
  • We may suspend/terminate if you breach these Terms or create risk/legal exposure.
  • Certain sections (IP, Disclaimers, Liability, Indemnification) survive termination.

12) Disclaimers & Warranties

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties—express, implied, or statutory, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, secure, or available at any time
  • Warranties that defects will be corrected or that the Services are free of viruses or harmful components
  • Warranties regarding the accuracy, completeness, or reliability of any content, feedback, or AI-generated materials
  • Any warranties arising from course of dealing, usage of trade, or trade practice

We do not guarantee any specific test scores, outcomes, or results from using the Services. Your success on any test depends on various factors beyond our control.

13) Limitation of Liability

To the maximum extent allowed by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits/revenues/data/goodwill. Our aggregate liability will not exceed the greater of (a) amounts you paid in the last 6 months or (b) CAD $50.

14) Indemnification

You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, and agents from claims arising from your use of the Services or breach of these Terms.

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. Where permitted by law, disputes are resolved on an individual basis; class actions are not allowed.
